Agreement to Terms

Welcome to Atlancar International Service Inc. ("Atlancar," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and any related applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

Services Description

Atlancar provides vehicle export services, including but not limited to:

• Sourcing vehicles from Canadian auction houses (IAAI, Copart, and others)
• Bidding on vehicles on behalf of clients
• Arranging international shipping and logistics
• Providing CIF (Cost, Insurance, and Freight) pricing
• Facilitating customs documentation and export procedures
• Vehicle inspection and condition reporting

Our Services are intended for business and personal use in compliance with all applicable laws and regulations.

Eligibility and Account Registration

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations in your jurisdiction

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach.

Vehicle Purchase Process

Quotes and Estimates

All quotes and estimates provided are subject to change based on:

• Final auction purchase price
• Actual shipping costs and routes
• Currency exchange rate fluctuations
• Changes in customs duties or taxes
• Additional fees from auction houses or service providers

Bidding Authorization

By authorizing us to bid on a vehicle, you agree to purchase the vehicle if we win the auction up to your specified maximum bid amount. You acknowledge that auction bids are binding and cannot be retracted once placed.

Payment Terms

Payment is required according to the following schedule:

• Deposit: Required before bidding authorization (typically 20-30% of estimated total cost)
• Balance Payment: Due within 3 business days of winning the auction
• Additional Costs: Any additional fees must be paid before vehicle shipment

Accepted payment methods include wire transfer, bank draft, and other methods as agreed upon. All payments are in Canadian Dollars (CAD) unless otherwise specified.

Vehicle Condition and Inspection

We provide vehicle condition reports based on:

• Auction house photos and descriptions
• Available inspection reports
• Our visual inspection when possible

Important: Auction vehicles are sold "as-is" and may have undisclosed damage or mechanical issues. We make reasonable efforts to provide accurate information, but we cannot guarantee the condition of any vehicle. You acknowledge that you are purchasing a used vehicle that may require repairs.

We strongly recommend arranging for independent inspection services when available. We are not responsible for any undisclosed damage, mechanical issues, or discrepancies in vehicle condition.

Shipping and Delivery

Shipping Terms

Our CIF pricing includes:

• Cost of the vehicle
• Insurance during transit
• Freight to the destination port

CIF pricing does NOT include customs duties, taxes, port handling fees, or inland transportation in the destination country. These are the responsibility of the buyer.

Delivery Timeline

Estimated delivery timelines are provided in good faith but are not guaranteed. Delays may occur due to:

• Weather conditions and natural disasters
• Port congestion or labor disputes
• Customs inspections or documentation issues
• Shipping line schedule changes
• Force majeure events

We are not liable for delays beyond our reasonable control.

Risk of Loss

Risk of loss transfers to you once the vehicle is loaded onto the shipping vessel. Insurance coverage is included in CIF pricing, but you are responsible for filing claims directly with the insurance provider for any damage during transit.

Cancellation and Refund Policy

Before Auction

You may cancel your order before we place a bid at the auction. Deposits are refundable minus a $200 CAD administrative fee.

After Winning Auction

Once we win an auction on your behalf, the purchase is binding and non-refundable. You are obligated to complete the transaction. Failure to pay may result in forfeiture of your deposit and potential legal action to recover damages.

Service Cancellation by Atlancar

We reserve the right to cancel any order if we suspect fraud, illegal activity, or violation of these Terms. In such cases, we will refund any payments received minus actual costs incurred.

Customs, Duties, and Import Regulations

You are solely responsible for:

• Understanding and complying with import regulations in your country
• Obtaining necessary import permits and licenses
• Paying all customs duties, taxes, and fees
• Ensuring the vehicle meets local safety and emissions standards
• Completing customs clearance procedures

We provide assistance with export documentation from Canada, but we are not responsible for import compliance in your country. We recommend consulting with a customs broker or import specialist in your jurisdiction.

If a vehicle cannot be imported due to regulatory issues, you remain responsible for all costs incurred, including return shipping or disposal fees.

Warranties and Disclaimers

THE SERVICES AND ALL VEHICLES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim all warranties, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties regarding vehicle condition, quality, or performance
• Warranties that the Services will be uninterrupted or error-free
• Warranties regarding the accuracy of vehicle descriptions or photos

Auction vehicles may have hidden damage, mechanical issues, or title problems. We are not the manufacturer or original seller of the vehicles and make no representations about their condition beyond what is disclosed by the auction house.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLANCAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to us for the specific vehicle or service giving rise to the claim.

We are not liable for delays, failures, or damages caused by third parties, including auction houses, shipping companies, customs authorities, or insurance providers.

Indemnification

You agree to indemnify, defend, and hold harmless Atlancar, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any laws or regulations
• Your violation of any third-party rights
• Any disputes with other users or third parties

Intellectual Property Rights

All content on our website, including text, graphics, logos, images, software, and design, is the property of Atlancar or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works from our content without our express written permission. Vehicle photos and descriptions from auction houses remain the property of their respective owners.

User Conduct and Prohibited Activities

You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Provide false or misleading information
• Impersonate any person or entity
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to our systems
• Use automated systems (bots, scrapers) without permission
• Engage in fraudulent activities or money laundering
• Harass, abuse, or harm other users or our staff
• Use the Services to export vehicles to sanctioned countries

Dispute Resolution and Arbitration

Informal Resolution

Before filing any formal claim, you agree to contact us at contact@atlancar.ca to attempt to resolve the dispute informally. We will work in good faith to resolve any issues.

Binding Arbitration

If we cannot resolve a dispute informally, any claims shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association. The arbitration shall take place in Montreal, Quebec, Canada, and shall be conducted in English or French.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Montreal, Quebec, Canada for any disputes not subject to arbitration.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Atlancar regarding the Services and supersede all prior agreements and understandings, whether written or oral.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
